Genius Brands confirms $53 million Wow Unlimited acquisition

Genius Brands(NASDAQ:GNUS)confirms it's acquiring Canada-based animation house Wow Unlimited Media for $53 million in cash and stock.

Wow Unlimited produces animation for top broadcasters and intellectual property holders, with productions including Adventure Time, FairlyOdd Parents, Powerpuff Girls, Dexter’s Laboratory, Castlevania, Madagascar -- A Little WildandBarbie Dreamhouse.

It partners with clients including Netflix, DreamWorks, Sony, Mattel, Spin Master, Moonbug, and Hulu.

Genius Brands' portfolio includes programs on its Kartoon Channel and elsewhere, includingStan Lee's Superhero Kindergarten, Shaq's Garage, Rainbow Rangers, Llama Llama, Baby Genius, Thomas Edison's Secret Lab,and Warren Buffett's Secret Millionaire's Club.

The acquisition boosts Genius Brands' pro forma last-12-months revenues by more than 1,100%, the company says. Wow's revenue in that period was $56 million, with EBITDA over $5 million (up 45% year-over-year).

And moving content operations to Canada from China will result in hefty savings for Genius Brands, thanks to Canadian content incentives as well as Production Service tax credits.
