Microsoft Corp. (Nasdaq: MSFT) released a proxy statement ahead of its Nov. 30 annual shareholders meeting disclosing a 12.6% compensation increase for CEO Satya Nadellaand a board of directors nomination.
Nadella's base salary of $2.5 million for 2020 didn't go up this year, according to the statement filed Thursday with the Securities and Exchange Commission. But Microsoft, which last year shifted to base more of its CEO's pay on company performance, rewarded Nadella for its recent successes.
His total compensation for fiscal 2021 was $49.9 million, up from $44.3 million in 2020. The increase came in the form of stock awards worth $33 million, up from $30.7 million, and cash incentive awards worth $14.2 million, up from almost $11 million.
Chief Financial OfficerAmy Hoodand PresidentBrad Smith also received compensation bumps, including salary raises. Hood's base salary went from $975,000 to $1 million, while Smith's increased from $860,000 to $960,000.
Nadella was voted as chairman of the board this year.
The board, like it did last year, praised Nadella for his and his senior leadership's success through the challenges of the Covid-19 pandemic.
"Our continued success in fiscal year 2021 required intense focus on accelerating our customers’ digital transformations, maintaining stable business operations, agility to adapt to rapidly changing circumstances, and excellence in our strategic vision," the filing said before crediting Nadella.
Microsoft also announced the nomination of Carlos Rodriguez, CEO of Automatic Data Processing (ADP), to its board of directors. If elected, Rodriguez would become the board's 12th member.
"I'm pleased to have Carlos join our board," Nadella said in a news release announcing the nomination. "As CEO of ADP, he brings unique industry and technology expertise, as well as deep understanding of changing work norms, which will make him a valuable addition to the board."
