After all, I said to short it at $26/share (Short Squeeze Presents Many Ways to Make Money) and then explained why there was no fundamental news behind the run up at $58/share (Recent Events are Just Re-Runs). But I'm pretty good at reading press releases, news articles and financial statements, and it's clear from recent news just how big a hole AMC has to climb out of on an operating basis.</p>\n<p><b>Attendance at theaters is terrible and AMC will continue to lose money</b></p>\n<p>On Monday, AMC put out a&nbsp;press release&nbsp;touting its \"post-reopening record\" of 2 million attendees and highlighting the biggest box office draw \"Fast and the Furious 9\" which grossed $70 million:</p>\n<p><img src=\"https://static.tigerbbs.com/c6c54d7e40d29666bf8b78f554f233e9\" tg-width=\"640\" tg-height=\"83\" referrerpolicy=\"no-referrer\"></p>\n<p class=\"t-img-caption\"><img src=\"https://static.tigerbbs.com/1b9f8c597b1ba417c6b478358caa9cc7\" tg-width=\"640\" tg-height=\"62\" referrerpolicy=\"no-referrer\"><span>Source: Businesswire</span></p>\n<p>For reasons that should be clear to all,these numbers are terrible. As you can see from the company's earnings release showing results for 2018 and 2019:</p>\n<p class=\"t-img-caption\"><img src=\"https://static.tigerbbs.com/b604e216de76939782f86a868e40889d\" tg-width=\"640\" tg-height=\"412\"><span>Source: AMC Entertainment</span></p>\n<p>The pace for attendance in 2019 was 250 million in the US, or 4.8 million customers per week and in 2018 it was 4.9 million customers. So it's very nice to learn that 2 million customers is the largest number of people to see a movie at AMC since COVID-19 led to lockdowns, but the real numbers mean show attendance is down almost 60% from 2018 and 2019.</p>\n<p>As you can see above, 2018 and 2019 were not great years for the company, either. AMC lost $149 million in the second of two years and made $110 million in the first one. At the end of 2019, the stock price of a money-losing AMC was just over $7/share. Bullish shareholders (\"Apes\" as they style themselves) are excited about the move of more than 700% to this week's price of over $55/share:</p>\n<p class=\"t-img-caption\"><img src=\"https://static.tigerbbs.com/1ce4607284db107f9758f4735a99ccd3\" tg-width=\"640\" tg-height=\"331\"><span>Source: Koyfin</span></p>\n<p>But what many of them don't seem to be paying attention to is the market capitalization. As you can see in the chart above, increasing the share count from 100 million to almost 480 million shares outstanding in the last year has pushed the market cap far higher leading to an increase of almost 3,900%.</p>\n<p>This kind of securities analysis is not \"optional\" and shareholders are now paying almost 40 times as much to own this company as they did at the end of the last full year before COVID-19.</p>\n<p><b>Not all MemeStocks are created Equal</b></p>\n<p>The first \"memestock\" to capture everyone's attention this year was GameStop (GME). After a number of years of declining sales, a new class of investors such as&nbsp;Chewy founder Ryan&nbsp;took interest in the company and eventually took over the board of directors. At the same time this change in leadership was underway, a number of hedge funds who had been short the stock&nbsp;began losing money&nbsp;at an alarming clip.</p>\n<p>In the popular imagination, the rise in GameStop shares was a&nbsp;win for retail investors&nbsp;sharing information on Reddit such as the now-famous \"Roaring Kitty,\" but the evidence is the biggest winners were in fact other hedge funds (see \"This Hedge Fund Made $700 million on GameStop\"). Since Cohen took over the company, he is shifting its business model to online sales and hiring executives from leading companies such as&nbsp;Amazon(NASDAQ:AMZN).</p>\n<p>None of the kinds of positive things that are happening at GameStop are even close to being talked about at AMC. AMC has had thesame CEO since 2015. There is no change in business model, and now that he has cash from equity sales, thebest ideahe's come up with is just buying more movie theaters! Meanwhile, many of the most successful companies on the planet such as Disney(NYSE:DIS), Netflix(NASDAQ:NFLX)and Amazon are all developing streaming services to entertain customers at home - which keeps them from going to the movies.</p>\n<p>Likewise, the entire growth of the online gaming industry with services such as Twitch from Amazon and Microsoft(NASDAQ:MSFT)with Xbox is another substantial competitor getting in the way of customers going to the movies. All this is to say that the future is not getting brighter for AMC.</p>\n<p><b>Conclusion</b></p>\n<p>Maybe AMC's share price will double next week. Maybe it will get cut in half. I don't know and neither does anyone else. But one month, one quarter or one year from now, shareholders will own a money-losing company in a fading industry at an extremely high valuation.</p>\n<p>I'm short shares in this stock because one day in the not-too-distant future, those shareholders will start selling, and then once the stock goes down regularly I expect them to start selling shares rapidly. Ultimately, I expect the shares to go back to the level they were at the end of 2019 - only when that happens, they won't be $7/share anymore. After all, I said to short it at $26/share (Short Squeeze Presents Many Ways to Make Money) and then explained why there was no fundamental news behind the run up at $58/share (Recent Events are Just Re-Runs). But I'm pretty good at reading press releases, news articles and financial statements, and it's clear from recent news just how big a hole AMC has to climb out of on an operating basis.\nAttendance at theaters is terrible and AMC will continue to lose money\nOn Monday, AMC put out a press release touting its \"post-reopening record\" of 2 million attendees and highlighting the biggest box office draw \"Fast and the Furious 9\" which grossed $70 million:\n\nSource: Businesswire\nFor reasons that should be clear to all,these numbers are terrible. As you can see from the company's earnings release showing results for 2018 and 2019:\nSource: AMC Entertainment\nThe pace for attendance in 2019 was 250 million in the US, or 4.8 million customers per week and in 2018 it was 4.9 million customers. So it's very nice to learn that 2 million customers is the largest number of people to see a movie at AMC since COVID-19 led to lockdowns, but the real numbers mean show attendance is down almost 60% from 2018 and 2019.\nAs you can see above, 2018 and 2019 were not great years for the company, either. AMC lost $149 million in the second of two years and made $110 million in the first one. At the end of 2019, the stock price of a money-losing AMC was just over $7/share. Bullish shareholders (\"Apes\" as they style themselves) are excited about the move of more than 700% to this week's price of over $55/share:\nSource: Koyfin\nBut what many of them don't seem to be paying attention to is the market capitalization. As you can see in the chart above, increasing the share count from 100 million to almost 480 million shares outstanding in the last year has pushed the market cap far higher leading to an increase of almost 3,900%.\nThis kind of securities analysis is not \"optional\" and shareholders are now paying almost 40 times as much to own this company as they did at the end of the last full year before COVID-19.\nNot all MemeStocks are created Equal\nThe first \"memestock\" to capture everyone's attention this year was GameStop (GME). After a number of years of declining sales, a new class of investors such as Chewy founder Ryan took interest in the company and eventually took over the board of directors. At the same time this change in leadership was underway, a number of hedge funds who had been short the stock began losing money at an alarming clip.\nIn the popular imagination, the rise in GameStop shares was a win for retail investors sharing information on Reddit such as the now-famous \"Roaring Kitty,\" but the evidence is the biggest winners were in fact other hedge funds (see \"This Hedge Fund Made $700 million on GameStop\"). Since Cohen took over the company, he is shifting its business model to online sales and hiring executives from leading companies such as Amazon(NASDAQ:AMZN).\nNone of the kinds of positive things that are happening at GameStop are even close to being talked about at AMC. AMC has had thesame CEO since 2015. There is no change in business model, and now that he has cash from equity sales, thebest ideahe's come up with is just buying more movie theaters! Meanwhile, many of the most successful companies on the planet such as Disney(NYSE:DIS), Netflix(NASDAQ:NFLX)and Amazon are all developing streaming services to entertain customers at home - which keeps them from going to the movies.\nLikewise, the entire growth of the online gaming industry with services such as Twitch from Amazon and Microsoft(NASDAQ:MSFT)with Xbox is another substantial competitor getting in the way of customers going to the movies. All this is to say that the future is not getting brighter for AMC.\nConclusion\nMaybe AMC's share price will double next week. Maybe it will get cut in half. I don't know and neither does anyone else. But one month, one quarter or one year from now, shareholders will own a money-losing company in a fading industry at an extremely high valuation.\nI'm short shares in this stock because one day in the not-too-distant future, those shareholders will start selling, and then once the stock goes down regularly I expect them to start selling shares rapidly. Ultimately, I expect the shares to go back to the level they were at the end of 2019 - only when that happens, they won't be $7/share anymore. As Isaac Newton said in 1676, “<i>If I have seen a little further it is by standing on the shoulders of Giants.</i>” Now I’m no Isaac Newton. For one, I’m far better looking. But like Zeke – a nickname Isaac’s friends probably never used – I too stand on the shoulders of giants. In this case the shoulders of Jason Zweig, a wonderful financial markets writer for<i>The Wall Street Journal</i>, and John Brooks, author of “<i>Business Adventures</i>”, a book recommended by Bill Gates. I will quote liberally from both in this article, then draw the line for you to AMC.</p>\n<p><b>Investor vs. trader vs. speculator</b></p>\n<p>Jason Zweig graphically distinguished between these three types of stock buyers in hisJune 11, 2021<i>Wall Street Journal</i>column:</p>\n<blockquote>\n “\n <i>Whenever you buy any financial asset because you have a hunch or just for kicks, or because somebody famous is hyping the heck out of it, or everybody else seems to be buying it too, you aren’t investing.You’re definitely a trader: someone who has just bought an asset. And you may be a speculator: someone who thinks other people will pay more for it than you did.”“An investor relies on internal sources of return: earnings, income, growth in the value of assets. A speculator counts on external sources of return: primarily whether somebody else will pay more, regardless of fundamental value.”</i>\n</blockquote>\n<p>So why has AMC’s stock price been on a tear? I have one informal data source, namely the 300+ comments on my June 4 AMC article. Earnings, income, growth in the value of assets<i>never</i>came up. What did come up was “short squeeze” and stock charts. So I expect Mr. Zweig would describe AMC’s stock as driven by traders and speculators.</p>\n<p>Mr. Zweig also made me realize that my AMC article left out an earnings forecast. I gave lots of data on historic trends, which only implied a future direction. I correct that omission here.</p>\n<p><b>A 2022 AMC earnings forecast</b></p>\n<p>I start with the key assumptions:</p>\n<p><img src=\"https://static.tigerbbs.com/3f5311cb0ff00c046d122c2c84fc3aea\" tg-width=\"640\" tg-height=\"168\" referrerpolicy=\"no-referrer\"></p>\n<p><i>My time frame for reference</i>&nbsp;is 2017 to 2019. Earlier data is less relevant because AMC made a big acquisition in 2016, and 2020 and 2021 data is even less relevant because of COVID.</p>\n<p><i>The national box office</i>is the major assumption.My June 4 articleshows that movie attendance has been declining since 2002. What will box office be next year? The steady growth in streaming, both in subscribers and content, certainly is a headwind. And COVID logically should increase the shift from offsite (theater) entertainment to home entertainment, as it has for shopping and working. Holding movie attendance near its ’19 level would be a minor miracle. A 10%, or even a 20%, decline is far more likely. As you can see in the table above, I make 2022 AMC EPS forecasts using all three box office assumptions.</p>\n<p><b><i>AMC market share.</i></b>I assume a share increase from AMC’s ’17-’19 level because some competing theaters must have dropped out because of COVID financial pressures.</p>\n<p><b><i>Admissions gross margin.</i></b>This is the profit from ticket sales less the cost of licensing movies from their producers. I hold AMC steady with ’17-’19, but I can also imagine that movie producers seek better terms because AMC has to bid against a growing pool of streaming services desperate for content.</p>\n<p><b><i>Food expenses as a percent of sales.</i></b>I carry forward the shockingly low number. AMC, and presumably its peers, take their food and beverage costs and<i>multiply them by 7 in their pricing to us moviegoers.</i>Smuggle in your own Jujifruits and save a bundle. My best financial advice for the year.</p>\n<p><b><i>Food and beverage sales as a percent of ticket prices.</i></b>I assume that AMC’s trend of modest increases continues.</p>\n<p><b><i>Operating expenses</i></b>are the cost of the theater personnel, utilities, etc. I assume the gradual uptrend in the operating expense ratio continues, for two reasons. One, these operating expenses are largely fixed, and revenues will be under pressure. Second, it seems logical that the current labor shortage will pressure pay levels for low-end theater jobs.</p>\n<p>We’re now ready for my earnings and cash flow models:</p>\n<p><img src=\"https://static.tigerbbs.com/9b8a5ce8ad10adb3336126cdb0a5e598\" tg-width=\"537\" tg-height=\"497\" referrerpolicy=\"no-referrer\"></p>\n<p>The ’22 forecasts are set by the assumptions above through the “gross profit” line. My overhead expense forecast assumes that AMC is working hard to limit expenses through its challenging times:</p>\n<ul>\n <li><i>Depreciation/amortization</i>is a combination of accounting expenses for real estate and acquisitions. Write-downs taken during the pandemic should have reduced these expenses.</li>\n <li><i>Interest expense</i>should decline as AMC pays down some debt with the equity it has been raising.</li>\n</ul>\n<p><b>The gravitational pull of earnings</b></p>\n<p>We arrive at the bottom line. The best-case scenario I can see for 2022 EPS is roughly breakeven. More likely is a modest loss. Cash flow should be somewhat worse, because the cash capital spending needed by AMC to keep its theaters attractive to a shrinking audience should exceed its non-cash depreciation/amortization expenses. If capital spending is much lower than I forecast, it is probably because AMC management is conceding that it is in a death spiral and wants to milk what cash it can.</p>\n<p><i>The bottom line - no support for investors.</i>AMC’s book value is negative. It appears incapable of earning any material money post-COVID. Its business is in long-term decline due to technology changes, and its new competitors are monster companies – Netflix, Disney, Comcast, etc. – with huge resources. An investor can only look at AMC’s current $55 stock price and with a shudder say, in the immortal words of<i>Trading Places</i>, “Sell Mortimer, sell!”</p>\n<p><b>The speculative play - a short squeeze: A historical cautionary tale</b></p>\n<p>Millennials did not invent the short squeeze. It has been around almost as long financial markets have existed. The book<i>Business Adventures</i>by John Brooks<i>,</i>published way back in 1969, tells a vivid tale of a short squeeze even farther back, in the early 1920s. Literally a century ago. I’m going to quote from the book to suggest how the story ends for speculations with no investor support. So pour yourself some illegal hooch (we’re heading to the Prohibition Era) and read on. This is the story of Clarence Saunders, the founder of Piggly Wiggly Stores, the first supermarket; the Amazon of his day.</p>\n<p>Shorts went after Clarence’s stock in 1922, driving it from $50 to below $40. Saunders vowed revenge with a short squeeze. Here are excerpts of Mr. Brooks’ recounting of the story:</p>\n<blockquote>\n “\n <i>Saunders…bought 33,000 shares of Piggly Wiggly, mostly from short sellers; within a week he had brought the total to 105,000 – more than half of the 200,000 shares outstanding. The effectiveness of Saunders’ buying campaign was readily apparent; by late January of 1923 it had driven he price up over $60…</i>”\n</blockquote>\n<p>The sole short squeezer of yore has been replaced by herds of “apes” today, and the apes have been far better in driving up prices. In 2020, the company generated $2.5 billion in revenue, up 126% y/y. In 2021, the company is expected to grow 117% y/y to $5.4 billion.</p>\n<p>The company is not yet profitable but is expected to be by 2022. Gross margin only turned positive in 2020 and is expected to be 19.3% in 2021. EBITDA is expected to be negative $258 million in 2021 and a positive $206 million in 2022. Free cash flow is expected to be negative $42 million in 2021 before turning to a positive $354 million in 2022.</p>\n<p>However, despite the cash burn expected in 2021, investors should feel at ease since the company exited&nbsp;2020&nbsp;with $5.9 billion of cash and cash equivalents. Including $600 million in short-term investments and subtracting ~$2.1 billion in debt and operating leases and the expected negative free cash flow in 2021, NIO should exit 2021 with over $4 billion in net cash and investments. The hedge fund looks to have turned the tables on the Reddit army.</p>\n<p><b>Reason for AMC's price reaction</b></p>\n<p>Movie theater company AMC just did what a lot of companies do that have a lot of debt to service and need to confront an uncertain future… they offer new shares to investors and use the funds as a life line to survive.</p>\n<p>AMC issued&nbsp;8,500,000 shares&nbsp;for $230,500,000 to an investment firm named Mudrick Capital Management, LP. The investment firm has a focus on event-driven investing and distressed debt.</p>\n<p>AMC said that it will use the proceeds from the capital raise for the \"pursuit of value creating acquisitions of theater assets and leases, as well as investments to enhance the consumer appeal of its theaters\".</p>\n<p>Fresh capital is much needed. AMC's revenues cratered during the pandemic and the theater chain is still suffering from COVID-19 shutdown restrictions and social distancing regulations.</p>\n<p>Although AMC's revenues are expected to bounce back this year as the pandemic seemingly comes to an end, COVID-19 may have changed movie viewing habits permanently.</p>\n<p>One big challenge for AMC will be to get viewers back into its movie theaters. Streaming already was a competitive threat to the industry before COVID-19 and the pandemic may have accelerated this trend. I tookone stab at itwith AMC Entertainment Holdings, Inc.(NYSE:AMC)a few weeks ago. I’m back for more, after reading two interesting pieces. As Isaac Newton said in 1676, “<i>If I have seen a little further it is by standing on the shoulders of Giants.</i>” Now I’m no Isaac Newton. For one, I’m far better looking. But like Zeke – a nickname Isaac’s friends probably never used – I too stand on the shoulders of giants. In this case the shoulders of Jason Zweig, a wonderful financial markets writer for<i>The Wall Street Journal</i>, and John Brooks, author of “<i>Business Adventures</i>”, a book recommended by Bill Gates. I will quote liberally from both in this article, then draw the line for you to AMC.</p>\n<p><b>Investor vs. trader vs. speculator</b></p>\n<p>Jason Zweig graphically distinguished between these three types of stock buyers in hisJune 11, 2021<i>Wall Street Journal</i>column:</p>\n<blockquote>\n “\n <i>Whenever you buy any financial asset because you have a hunch or just for kicks, or because somebody famous is hyping the heck out of it, or everybody else seems to be buying it too, you aren’t investing.You’re definitely a trader: someone who has just bought an asset. And you may be a speculator: someone who thinks other people will pay more for it than you did.”“An investor relies on internal sources of return: earnings, income, growth in the value of assets. A speculator counts on external sources of return: primarily whether somebody else will pay more, regardless of fundamental value.”</i>\n</blockquote>\n<p>So why has AMC’s stock price been on a tear? I have one informal data source, namely the 300+ comments on my June 4 AMC article. Earnings, income, growth in the value of assets<i>never</i>came up. What did come up was “short squeeze” and stock charts. So I expect Mr. Zweig would describe AMC’s stock as driven by traders and speculators.</p>\n<p>Mr. Zweig also made me realize that my AMC article left out an earnings forecast. I gave lots of data on historic trends, which only implied a future direction. I correct that omission here.</p>\n<p><b>A 2022 AMC earnings forecast</b></p>\n<p>I start with the key assumptions:</p>\n<p><img src=\"https://static.tigerbbs.com/3f5311cb0ff00c046d122c2c84fc3aea\" tg-width=\"640\" tg-height=\"168\" referrerpolicy=\"no-referrer\"></p>\n<p><i>My time frame for reference</i>&nbsp;is 2017 to 2019. Earlier data is less relevant because AMC made a big acquisition in 2016, and 2020 and 2021 data is even less relevant because of COVID.</p>\n<p><i>The national box office</i>is the major assumption.My June 4 articleshows that movie attendance has been declining since 2002. What will box office be next year? The steady growth in streaming, both in subscribers and content, certainly is a headwind. And COVID logically should increase the shift from offsite (theater) entertainment to home entertainment, as it has for shopping and working. Holding movie attendance near its ’19 level would be a minor miracle. A 10%, or even a 20%, decline is far more likely. As you can see in the table above, I make 2022 AMC EPS forecasts using all three box office assumptions.</p>\n<p><b><i>AMC market share.</i></b>I assume a share increase from AMC’s ’17-’19 level because some competing theaters must have dropped out because of COVID financial pressures.</p>\n<p><b><i>Admissions gross margin.</i></b>This is the profit from ticket sales less the cost of licensing movies from their producers. I hold AMC steady with ’17-’19, but I can also imagine that movie producers seek better terms because AMC has to bid against a growing pool of streaming services desperate for content.</p>\n<p><b><i>Food expenses as a percent of sales.</i></b>I carry forward the shockingly low number. AMC, and presumably its peers, take their food and beverage costs and<i>multiply them by 7 in their pricing to us moviegoers.</i>Smuggle in your own Jujifruits and save a bundle. My best financial advice for the year.</p>\n<p><b><i>Food and beverage sales as a percent of ticket prices.</i></b>I assume that AMC’s trend of modest increases continues.</p>\n<p><b><i>Operating expenses</i></b>are the cost of the theater personnel, utilities, etc. I assume the gradual uptrend in the operating expense ratio continues, for two reasons. One, these operating expenses are largely fixed, and revenues will be under pressure. Second, it seems logical that the current labor shortage will pressure pay levels for low-end theater jobs.</p>\n<p>We’re now ready for my earnings and cash flow models:</p>\n<p><img src=\"https://static.tigerbbs.com/9b8a5ce8ad10adb3336126cdb0a5e598\" tg-width=\"537\" tg-height=\"497\" referrerpolicy=\"no-referrer\"></p>\n<p>The ’22 forecasts are set by the assumptions above through the “gross profit” line. My overhead expense forecast assumes that AMC is working hard to limit expenses through its challenging times:</p>\n<ul>\n <li><i>Depreciation/amortization</i>is a combination of accounting expenses for real estate and acquisitions. Write-downs taken during the pandemic should have reduced these expenses.</li>\n <li><i>Interest expense</i>should decline as AMC pays down some debt with the equity it has been raising.</li>\n</ul>\n<p><b>The gravitational pull of earnings</b></p>\n<p>We arrive at the bottom line. The best-case scenario I can see for 2022 EPS is roughly breakeven. More likely is a modest loss. Cash flow should be somewhat worse, because the cash capital spending needed by AMC to keep its theaters attractive to a shrinking audience should exceed its non-cash depreciation/amortization expenses. If capital spending is much lower than I forecast, it is probably because AMC management is conceding that it is in a death spiral and wants to milk what cash it can.</p>\n<p><i>The bottom line - no support for investors.</i>AMC’s book value is negative. It appears incapable of earning any material money post-COVID. Its business is in long-term decline due to technology changes, and its new competitors are monster companies – Netflix, Disney, Comcast, etc. – with huge resources. An investor can only look at AMC’s current $55 stock price and with a shudder say, in the immortal words of<i>Trading Places</i>, “Sell Mortimer, sell!”</p>\n<p><b>The speculative play - a short squeeze: A historical cautionary tale</b></p>\n<p>Millennials did not invent the short squeeze. It has been around almost as long financial markets have existed. The book<i>Business Adventures</i>by John Brooks<i>,</i>published way back in 1969, tells a vivid tale of a short squeeze even farther back, in the early 1920s. Literally a century ago. I’m going to quote from the book to suggest how the story ends for speculations with no investor support. So pour yourself some illegal hooch (we’re heading to the Prohibition Era) and read on. This is the story of Clarence Saunders, the founder of Piggly Wiggly Stores, the first supermarket; the Amazon of his day.</p>\n<p>Shorts went after Clarence’s stock in 1922, driving it from $50 to below $40. Saunders vowed revenge with a short squeeze. Here are excerpts of Mr. Brooks’ recounting of the story:</p>\n<blockquote>\n “\n <i>Saunders…bought 33,000 shares of Piggly Wiggly, mostly from short sellers; within a week he had brought the total to 105,000 – more than half of the 200,000 shares outstanding. The effectiveness of Saunders’ buying campaign was readily apparent; by late January of 1923 it had driven he price up over $60…</i>”\n</blockquote>\n<p>The sole short squeezer of yore has been replaced by herds of “apes” today, and the apes have been far better in driving up prices. By the way, believe it or not, a group of apes is apparently called a “shrewdness”. A group of apes is shrewd – interesting.</p>\n<blockquote>\n “\n <i>He had made himself a bundle and had demonstrated how a poor Southern boy could teach the city slickers a lesson.”</i>\n</blockquote>\n<p>Today we have apes sticking it to hedge funds.</p>\n<blockquote>\n “\n <i>One of the great hazards in the Corner was always that even though a player might defeat his opponents, he would discover that he had won a Pyrrhic victory. Once the short sellers had been squeezed dry, the cornerer might find that the reams of stock he had accumulated in the process were a dead weight around his neck; by pushing it all back into the market, he would drive its price down to zero.</i>”\n</blockquote>\n<p>Something to think about. What was Saunders to do?</p>\n<blockquote>\n “[\n <i>Saunders’] solution was to sell his $55 shares on the installment plan. In his February advertisements, he stipulated that the public could buy shares only by paying $25 down and the balance in three $10 installments</i>.”\n</blockquote>\n<p>Pretty clever, no? No:</p>\n<blockquote>\n “\n <i>At the end of the third day, the total number of shares subscribed for was still under 25,000, and the sales that were made were canceled. Saunders had to admit that the drive had been a failure.”</i>\n</blockquote>\n<p>Uh oh. What now?</p>\n<blockquote>\n <i>“On August 22nd, the New York auction firm of Adrian H. Muller &amp; Son…knocked down 1,500 shares of Piggly Wiggly at $1 a share…The following spring Saunders went through formal bankruptcy proceedings.”</i>\n</blockquote>\n<p>Ouch.</p>\n<p><b>Buyers beware</b></p>\n<p>As Jason Zweig noted above, speculators depend upon finding a buyer at a higher price. Today’s holders of AMC stock certainly have made life painful for many short sellers. But are there really enough new buyers to take out current shareholders above AMC’s present $28 billion market cap? Especially with the gravity of no earnings constantly weighing on the stock?</p>\n<p>AMC shareholders, don’t win Clarence Saunders’ Pyrrhic victory. Take your $55 a share and run. Fast. I tookone stab at itwith AMC Entertainment Holdings, Inc.(NYSE:AMC)a few weeks ago. I’m back for more, after reading two interesting pieces. As Isaac Newton said in 1676, “If I have seen a little further it is by standing on the shoulders of Giants.” Now I’m no Isaac Newton. For one, I’m far better looking. But like Zeke – a nickname Isaac’s friends probably never used – I too stand on the shoulders of giants. In this case the shoulders of Jason Zweig, a wonderful financial markets writer forThe Wall Street Journal, and John Brooks, author of “Business Adventures”, a book recommended by Bill Gates. I will quote liberally from both in this article, then draw the line for you to AMC.\nInvestor vs. trader vs. speculator\nJason Zweig graphically distinguished between these three types of stock buyers in hisJune 11, 2021Wall Street Journalcolumn:\n\n “\n Whenever you buy any financial asset because you have a hunch or just for kicks, or because somebody famous is hyping the heck out of it, or everybody else seems to be buying it too, you aren’t investing.You’re definitely a trader: someone who has just bought an asset. And you may be a speculator: someone who thinks other people will pay more for it than you did.”“An investor relies on internal sources of return: earnings, income, growth in the value of assets. A speculator counts on external sources of return: primarily whether somebody else will pay more, regardless of fundamental value.”\n\nSo why has AMC’s stock price been on a tear? I have one informal data source, namely the 300+ comments on my June 4 AMC article. Earnings, income, growth in the value of assetsnevercame up. What did come up was “short squeeze” and stock charts. So I expect Mr. Zweig would describe AMC’s stock as driven by traders and speculators.\nMr. Zweig also made me realize that my AMC article left out an earnings forecast. I gave lots of data on historic trends, which only implied a future direction. I correct that omission here.\nA 2022 AMC earnings forecast\nI start with the key assumptions:\n\nMy time frame for reference is 2017 to 2019. Earlier data is less relevant because AMC made a big acquisition in 2016, and 2020 and 2021 data is even less relevant because of COVID.\nThe national box officeis the major assumption.My June 4 articleshows that movie attendance has been declining since 2002. What will box office be next year? The steady growth in streaming, both in subscribers and content, certainly is a headwind. And COVID logically should increase the shift from offsite (theater) entertainment to home entertainment, as it has for shopping and working. Holding movie attendance near its ’19 level would be a minor miracle. A 10%, or even a 20%, decline is far more likely. As you can see in the table above, I make 2022 AMC EPS forecasts using all three box office assumptions.\nAMC market share.I assume a share increase from AMC’s ’17-’19 level because some competing theaters must have dropped out because of COVID financial pressures.\nAdmissions gross margin.This is the profit from ticket sales less the cost of licensing movies from their producers. I hold AMC steady with ’17-’19, but I can also imagine that movie producers seek better terms because AMC has to bid against a growing pool of streaming services desperate for content.\nFood expenses as a percent of sales.I carry forward the shockingly low number. AMC, and presumably its peers, take their food and beverage costs andmultiply them by 7 in their pricing to us moviegoers.Smuggle in your own Jujifruits and save a bundle. My best financial advice for the year.\nFood and beverage sales as a percent of ticket prices.I assume that AMC’s trend of modest increases continues.\nOperating expensesare the cost of the theater personnel, utilities, etc. I assume the gradual uptrend in the operating expense ratio continues, for two reasons. One, these operating expenses are largely fixed, and revenues will be under pressure. Second, it seems logical that the current labor shortage will pressure pay levels for low-end theater jobs.\nWe’re now ready for my earnings and cash flow models:\n\nThe ’22 forecasts are set by the assumptions above through the “gross profit” line. My overhead expense forecast assumes that AMC is working hard to limit expenses through its challenging times:\n\nDepreciation/amortizationis a combination of accounting expenses for real estate and acquisitions. Write-downs taken during the pandemic should have reduced these expenses.\nInterest expenseshould decline as AMC pays down some debt with the equity it has been raising.\n\nThe gravitational pull of earnings\nWe arrive at the bottom line. The best-case scenario I can see for 2022 EPS is roughly breakeven. More likely is a modest loss. Cash flow should be somewhat worse, because the cash capital spending needed by AMC to keep its theaters attractive to a shrinking audience should exceed its non-cash depreciation/amortization expenses. If capital spending is much lower than I forecast, it is probably because AMC management is conceding that it is in a death spiral and wants to milk what cash it can.\nThe bottom line - no support for investors.AMC’s book value is negative. It appears incapable of earning any material money post-COVID. Its business is in long-term decline due to technology changes, and its new competitors are monster companies – Netflix, Disney, Comcast, etc. – with huge resources. An investor can only look at AMC’s current $55 stock price and with a shudder say, in the immortal words ofTrading Places, “Sell Mortimer, sell!”\nThe speculative play - a short squeeze: A historical cautionary tale\nMillennials did not invent the short squeeze. It has been around almost as long financial markets have existed. The bookBusiness Adventuresby John Brooks,published way back in 1969, tells a vivid tale of a short squeeze even farther back, in the early 1920s. Literally a century ago. I’m going to quote from the book to suggest how the story ends for speculations with no investor support. So pour yourself some illegal hooch (we’re heading to the Prohibition Era) and read on. This is the story of Clarence Saunders, the founder of Piggly Wiggly Stores, the first supermarket; the Amazon of his day.\nShorts went after Clarence’s stock in 1922, driving it from $50 to below $40. Saunders vowed revenge with a short squeeze. Here are excerpts of Mr. Brooks’ recounting of the story:\n\n “\n Saunders…bought 33,000 shares of Piggly Wiggly, mostly from short sellers; within a week he had brought the total to 105,000 – more than half of the 200,000 shares outstanding. The effectiveness of Saunders’ buying campaign was readily apparent; by late January of 1923 it had driven he price up over $60…”\n\nThe sole short squeezer of yore has been replaced by herds of “apes” today, and the apes have been far better in driving up prices. By the way, believe it or not, a group of apes is apparently called a “shrewdness”. A group of apes is shrewd – interesting.\n\n “\n He had made himself a bundle and had demonstrated how a poor Southern boy could teach the city slickers a lesson.”\n\nToday we have apes sticking it to hedge funds.\n\n “\n One of the great hazards in the Corner was always that even though a player might defeat his opponents, he would discover that he had won a Pyrrhic victory. Once the short sellers had been squeezed dry, the cornerer might find that the reams of stock he had accumulated in the process were a dead weight around his neck; by pushing it all back into the market, he would drive its price down to zero.”\n\nSomething to think about. What was Saunders to do?\n\n “[\n Saunders’] solution was to sell his $55 shares on the installment plan. In his February advertisements, he stipulated that the public could buy shares only by paying $25 down and the balance in three $10 installments.”\n\nPretty clever, no? No:\n\n “\n At the end of the third day, the total number of shares subscribed for was still under 25,000, and the sales that were made were canceled. Saunders had to admit that the drive had been a failure.”\n\nUh oh. What now?\n\n“On August 22nd, the New York auction firm of Adrian H. Muller & Son…knocked down 1,500 shares of Piggly Wiggly at $1 a share…The following spring Saunders went through formal bankruptcy proceedings.”\n\nOuch.\nBuyers beware\nAs Jason Zweig noted above, speculators depend upon finding a buyer at a higher price. Today’s holders of AMC stock certainly have made life painful for many short sellers. But are there really enough new buyers to take out current shareholders above AMC’s present $28 billion market cap? Especially with the gravity of no earnings constantly weighing on the stock?\nAMC shareholders, don’t win Clarence Saunders’ Pyrrhic victory. Take your $55 a share and run. Fast. Gross margin only turned positive in 2020 and is expected to be 19.3% in 2021. EBITDA is expected to be negative $258 million in 2021 and a positive $206 million in 2022. Free cash flow is expected to be negative $42 million in 2021 before turning to a positive $354 million in 2022.</p>\n<p>However, despite the cash burn expected in 2021, investors should feel at ease since the company exited&nbsp;2020&nbsp;with $5.9 billion of cash and cash equivalents. After all, I said to short it at $26/share (Short Squeeze Presents Many Ways to Make Money) and then explained why there was no fundamental news behind the run up at $58/share (Recent Events are Just Re-Runs). But I'm pretty good at reading press releases, news articles and financial statements, and it's clear from recent news just how big a hole AMC has to climb out of on an operating basis.</p>\n<p><b>Attendance at theaters is terrible and AMC will continue to lose money</b></p>\n<p>On Monday, AMC put out a&nbsp;press release&nbsp;touting its \"post-reopening record\" of 2 million attendees and highlighting the biggest box office draw \"Fast and the Furious 9\" which grossed $70 million:</p>\n<p><img src=\"https://static.tigerbbs.com/c6c54d7e40d29666bf8b78f554f233e9\" tg-width=\"640\" tg-height=\"83\" referrerpolicy=\"no-referrer\"></p>\n<p class=\"t-img-caption\"><img src=\"https://static.tigerbbs.com/1b9f8c597b1ba417c6b478358caa9cc7\" tg-width=\"640\" tg-height=\"62\" referrerpolicy=\"no-referrer\"><span>Source: Businesswire</span></p>\n<p>For reasons that should be clear to all,these numbers are terrible. As you can see from the company's earnings release showing results for 2018 and 2019:</p>\n<p class=\"t-img-caption\"><img src=\"https://static.tigerbbs.com/b604e216de76939782f86a868e40889d\" tg-width=\"640\" tg-height=\"412\"><span>Source: AMC Entertainment</span></p>\n<p>The pace for attendance in 2019 was 250 million in the US, or 4.8 million customers per week and in 2018 it was 4.9 million customers. So it's very nice to learn that 2 million customers is the largest number of people to see a movie at AMC since COVID-19 led to lockdowns, but the real numbers mean show attendance is down almost 60% from 2018 and 2019.</p>\n<p>As you can see above, 2018 and 2019 were not great years for the company, either. AMC lost $149 million in the second of two years and made $110 million in the first one. At the end of 2019, the stock price of a money-losing AMC was just over $7/share. Bullish shareholders (\"Apes\" as they style themselves) are excited about the move of more than 700% to this week's price of over $55/share:</p>\n<p class=\"t-img-caption\"><img src=\"https://static.tigerbbs.com/1ce4607284db107f9758f4735a99ccd3\" tg-width=\"640\" tg-height=\"331\"><span>Source: Koyfin</span></p>\n<p>But what many of them don't seem to be paying attention to is the market capitalization. As you can see in the chart above, increasing the share count from 100 million to almost 480 million shares outstanding in the last year has pushed the market cap far higher leading to an increase of almost 3,900%.</p>\n<p>This kind of securities analysis is not \"optional\" and shareholders are now paying almost 40 times as much to own this company as they did at the end of the last full year before COVID-19.</p>\n<p><b>Not all MemeStocks are created Equal</b></p>\n<p>The first \"memestock\" to capture everyone's attention this year was GameStop (GME). After a number of years of declining sales, a new class of investors such as&nbsp;Chewy founder Ryan&nbsp;took interest in the company and eventually took over the board of directors. At the same time this change in leadership was underway, a number of hedge funds who had been short the stock&nbsp;began losing money&nbsp;at an alarming clip.</p>\n<p>In the popular imagination, the rise in GameStop shares was a&nbsp;win for retail investors&nbsp;sharing information on Reddit such as the now-famous \"Roaring Kitty,\" but the evidence is the biggest winners were in fact other hedge funds (see \"This Hedge Fund Made $700 million on GameStop\"). Since Cohen took over the company, he is shifting its business model to online sales and hiring executives from leading companies such as&nbsp;Amazon(NASDAQ:AMZN).</p>\n<p>None of the kinds of positive things that are happening at GameStop are even close to being talked about at AMC. AMC has had thesame CEO since 2015. There is no change in business model, and now that he has cash from equity sales, thebest ideahe's come up with is just buying more movie theaters! Meanwhile, many of the most successful companies on the planet such as Disney(NYSE:DIS), Netflix(NASDAQ:NFLX)and Amazon are all developing streaming services to entertain customers at home - which keeps them from going to the movies.</p>\n<p>Likewise, the entire growth of the online gaming industry with services such as Twitch from Amazon and Microsoft(NASDAQ:MSFT)with Xbox is another substantial competitor getting in the way of customers going to the movies. All this is to say that the future is not getting brighter for AMC.</p>\n<p><b>Conclusion</b></p>\n<p>Maybe AMC's share price will double next week. Maybe it will get cut in half. I don't know and neither does anyone else. But one month, one quarter or one year from now, shareholders will own a money-losing company in a fading industry at an extremely high valuation.</p>\n<p>I'm short shares in this stock because one day in the not-too-distant future, those shareholders will start selling, and then once the stock goes down regularly I expect them to start selling shares rapidly. Ultimately, I expect the shares to go back to the level they were at the end of 2019 - only when that happens, they won't be $7/share anymore. It can’t be what it is. No industry insider thinks that is possible.\"</p>\n<p>AMC shares were marked 8.5%&nbsp; lower in mid-day trading Monday to change hands at $54.30 each, a move that would take the stock's one-month gain to around 350%.</p>\n<p>GameStop shares slumped 7.2% lower to $198.40 each, a gain of 12.5% from last month's levels.</p>\n<p>Data from theYolosocks.livewebsite, which tracks real-time mentions on stocks within Reddit's r/wallstreetbets chatroom, indicates that AMC is still the most-discussed stock among users over the past 24 hours and more than 777 mentions.</p>\n<p>Short interest in AMC shares remains elevated, however, with data from S3 Partners pegging it at 68.83 million. Normally, capital raises cause stock prices to fall, not increase. The hedge fund looks to have turned the tables on the Reddit army.</p>\n<p><b>Reason for AMC's price reaction</b></p>\n<p>Movie theater company AMC just did what a lot of companies do that have a lot of debt to service and need to confront an uncertain future… they offer new shares to investors and use the funds as a life line to survive.</p>\n<p>AMC issued&nbsp;8,500,000 shares&nbsp;for $230,500,000 to an investment firm named Mudrick Capital Management, LP. The investment firm has a focus on event-driven investing and distressed debt.</p>\n<p>AMC said that it will use the proceeds from the capital raise for the \"pursuit of value creating acquisitions of theater assets and leases, as well as investments to enhance the consumer appeal of its theaters\".</p>\n<p>Fresh capital is much needed. AMC's revenues cratered during the pandemic and the theater chain is still suffering from COVID-19 shutdown restrictions and social distancing regulations.</p>\n<p>Although AMC's revenues are expected to bounce back this year as the pandemic seemingly comes to an end, COVID-19 may have changed movie viewing habits permanently.</p>\n<p>One big challenge for AMC will be to get viewers back into its movie theaters. Streaming already was a competitive threat to the industry before COVID-19 and the pandemic may have accelerated this trend. A lot of people seem to have&nbsp;serious anxiety&nbsp;regarding a lockdown exit, so there is a valid question to be asked if movie theaters can really return to normal once the pandemic ends.</p>\n<p>But back to AMC's announcement.</p>\n<p>Shares of AMC surged 23% on Tuesday, which brings the total year-to-date return to more than 1,500%.</p>\n<p>Looking at the technical situation of AMC… shares are now very, very much overbought...</p>\n<p class=\"t-img-caption\"><img src=\"https://static.tigerbbs.com/eda20bf9503e3abf095e0fb05639597b\" tg-width=\"1267\" tg-height=\"727\"><span>(Source: TradingView)</span></p>\n<p>AMC's trading volume on Tuesday was almost 500% the average trading volume with almost half a billion shares being bought and sold…</p>\n<p class=\"t-img-caption\"><img src=\"https://static.tigerbbs.com/188015773070c85dac8627ef00d7320a\" tg-width=\"418\" tg-height=\"287\"><span>(Source: ShortSqueeze)</span></p>\n<p>However, the price reaction literally makes no sense given that the firm announced a capital raise, which increases the number of shares. As more shares are issued, the firms EPS is poised to decline as earnings are distributed over a larger amount of outstanding shares. The reaction to a capital raise is typically for the share price to fall, not to increase.</p>\n<p>AMC now has a market capitalization of $14.4b compared to less than $1b in January...</p>\n<p class=\"t-img-caption\"><img src=\"https://static.tigerbbs.com/466ba9dd813555ed3675587a5cc6c834\" tg-width=\"635\" tg-height=\"419\"><span>Data by YCharts</span></p>\n<p><b>A hedge fund is turning the tables on the Reddit army…</b></p>\n<p>Mudrick Capital Management is said to have already&nbsp;exited its position&nbsp;in AMC after making a quick 20% on Tuesday. So Mudrick Capital Management is not a long term investor that is bringing its distressed debt and special situation expertise to AMC… the whole thing was really just a quick flip as the investment firm offloaded overpriced shares to retail investors that continue to buy into the frenzy because they hope for a short squeeze. The firm itself brazenly called AMC \"massively overvalued.\" If the firm made a 20% return on its invested capital, it secured $46m in profits yesterday… not bad for a day's work!</p>\n<p>While AMC was likely happy to get an equity raise done at this valuation, the hedge fund sold its stake faster than AMC could get the filing about its unregistered sale of equity securities out...</p>\n<p><b>Extreme volatility and risks...</b></p>\n<p>AMC's valuation has become even more ludicrous on Tuesday than it already was before. The movie theater chain, which was close to bankruptcy just a few months ago, now trades at a P-S ratio of 3.</p>\n<p>Cinemark Holdings (CNK), a theater rival which may itself be overvalued, trades at a P-S ratio of 1.0.</p>\n<p class=\"t-img-caption\"><img src=\"https://static.tigerbbs.com/81c3d9572182dca54c798bab323e99b2\" tg-width=\"635\" tg-height=\"419\"><span>Data by YCharts</span></p>\n<p>The risk here is immeasurable because neither the price action nor the valuation makes any sense for AMC.</p>\n<p>AMC's price should have gone down yesterday, not up because a capital raise is dilutive... but nothing makes sense anymore when it comes to AMC.</p>\n<p>AMC is trading independently of its business numbers and growth prospects and the risk of losing everything in this \"investment\" is extremely high.</p>\n<p><b>Closing thoughts</b></p>\n<p>A hedge fund just had a big victory and nobody seems to notice or care.</p>\n<p>You literally had a hedge fund flipping its stake in AMC to the Reddit army at a massively overpriced valuation and explicitly calling AMC \"overvalued.\" It can't get any more brazen than this. Normally, capital raises cause stock prices to fall, not increase. The hedge fund looks to have turned the tables on the Reddit army.\nReason for AMC's price reaction\nMovie theater company AMC just did what a lot of companies do that have a lot of debt to service and need to confront an uncertain future… they offer new shares to investors and use the funds as a life line to survive.\nAMC issued 8,500,000 shares for $230,500,000 to an investment firm named Mudrick Capital Management, LP. The investment firm has a focus on event-driven investing and distressed debt.\nAMC said that it will use the proceeds from the capital raise for the \"pursuit of value creating acquisitions of theater assets and leases, as well as investments to enhance the consumer appeal of its theaters\".\nFresh capital is much needed. AMC's revenues cratered during the pandemic and the theater chain is still suffering from COVID-19 shutdown restrictions and social distancing regulations.\nAlthough AMC's revenues are expected to bounce back this year as the pandemic seemingly comes to an end, COVID-19 may have changed movie viewing habits permanently.\nOne big challenge for AMC will be to get viewers back into its movie theaters. Streaming already was a competitive threat to the industry before COVID-19 and the pandemic may have accelerated this trend. A lot of people seem to have serious anxiety regarding a lockdown exit, so there is a valid question to be asked if movie theaters can really return to normal once the pandemic ends.\nBut back to AMC's announcement.\nShares of AMC surged 23% on Tuesday, which brings the total year-to-date return to more than 1,500%.\nLooking at the technical situation of AMC… shares are now very, very much overbought...\n(Source: TradingView)\nAMC's trading volume on Tuesday was almost 500% the average trading volume with almost half a billion shares being bought and sold…\n(Source: ShortSqueeze)\nHowever, the price reaction literally makes no sense given that the firm announced a capital raise, which increases the number of shares. So Mudrick Capital Management is not a long term investor that is bringing its distressed debt and special situation expertise to AMC… the whole thing was really just a quick flip as the investment firm offloaded overpriced shares to retail investors that continue to buy into the frenzy because they hope for a short squeeze. The firm itself brazenly called AMC \"massively overvalued.\" If the firm made a 20% return on its invested capital, it secured $46m in profits yesterday… not bad for a day's work!\nWhile AMC was likely happy to get an equity raise done at this valuation, the hedge fund sold its stake faster than AMC could get the filing about its unregistered sale of equity securities out...\nExtreme volatility and risks...\nAMC's valuation has become even more ludicrous on Tuesday than it already was before.
