第一部分：操纵股价的关键：控制筹码、非市场化发行上市公司股东可以大致分为三类：1、创始团队2、一级市场投资者，VC/PE3、IPO中或者上市后参与的长线和对冲基金在解禁前，1和2无法卖出，股价的每日波动取决于第3类。IPO发行分为市场化和非市场化。市场化发行：广泛的真正的市场化的对冲基金、长线基金、散户的参与，价格相对体现价值，不会形成强有力的控盘。非市场化是指，没有市场化的参与，认购方只是少数亲友。老千股有一个多年的玩法在香港叫"围飞"。注意：并非所有的非市场化发行都是烂公司、老千股。行情很差的时候，一些优质的公司可能也需要老股东等亲友的支持成功上市，之后再凭借基本面的优质表现，渐渐吸引市场化基金的投资。但还有一类公司，一开始就奔着操纵市场去的，在ipo发行时，会让筹码集中在"少数人"手中。IPO后的前几天左手倒右手，股价非常容易控制，拉十倍，百倍轻轻松松。因为没有外部筹码，控制股价的关键是控制筹码。解禁之后，控制筹码的难度/代价大大提升，因为1和2类股东都解禁了。但也有例外：如果公司几乎没做过一级市场融资，团队也可能2-3位甚至只有老大持股，这样的股权结构也有机会在解禁后控盘。比如$尚乘国际(AMTD)$ 。第二部分 $尚乘国际(AMTD)$ 和$尚乘数科(HKD)$ 这两家公司基本面完全不用看，创始人蔡志坚的口碑。。。（可自行百度/谷歌）。也完全不用看PR稿里提到的李嘉诚或者其他占比微小的财务股东。当年尚乘初始
